1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Provue ("Company," "we," "us," or "our") regarding your use of the Provue platform and related services, including our website at https://www.provue.ai (collectively, the "Services").

Provue is operated by Pazago Technologies Private Limited, a private company registered in Mumbai, Maharashtra. (CIN: U72900KA2021PTC150187)

By accessing, using, or registering for our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Description of Services

2.1 The Platform

Provue is a platform where you can discover and connect with the personas and people available on the Service, message them, and create content. Content you create may include audio, images, video, text, and documents, produced using inputs such as:

  1. Text prompts you provide

  2. Files and documents you upload as context

  3. Photos or images you upload

  4. Details you choose to share to use certain features

  5. Customizable settings and parameters

2.2 Service Features

Our Services include:

  1. Messaging with the personas and people available on the Service

  2. Content creation tools

  3. A private "Library" for storing your content

  4. A discovery section featuring content curated by Provue

  5. A credit wallet for accessing paid features

  6. Account management and settings

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Services.

3. User Accounts and Registration

3.1 Account Creation

To access our Services, you must create an account by providing a valid email address and/or phone number. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

3.2 Account Requirements

  1. You must be at least 18 years old to create an account

  2. You must provide accurate and complete information

  3. You must maintain and promptly update your account information

  4. You are responsible for all activities conducted through your account

  5. You agree to use a valid email address and/or phone number and respond to One-Time Passwords (OTPs) sent for authentication

3.3 Account Security

You agree to:

  1. Keep your authentication details secure

  2. Notify us immediately of any unauthorized access to your account

  3. Not share your account access with others

  4. Log out of your account when using a shared device

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to:

  1. Use the Services in compliance with all applicable laws and regulations

  2. Respect the intellectual property rights of others

  3. Use the Services in a manner that does not harm or interfere with others' use

  4. Provide accurate information when using our content creation tools

  5. Only input content you have the right to use

4.2 Prohibited Activities

You agree not to:

  1. Use the Services for any illegal, harmful, or abusive purposes

  2. Attempt to reverse engineer, decompile, or extract the source code of our Services

  3. Use automated tools or bots to access the Services without authorization

  4. Interfere with or disrupt the integrity or performance of the Services

  5. Attempt to gain unauthorized access to our systems or other users' accounts

  6. Upload or input content that is offensive, defamatory, or violates others' rights

  7. Use the Services to generate content that could be harmful, misleading, or inappropriate

  8. Violate any applicable laws, regulations, or third-party rights

  9. Create multiple accounts to circumvent restrictions or limitations

  10. Use the Services to generate hateful, discriminatory, or violent content

  11. Upload copyrighted material without authorization

  12. Generate content that impersonates or misrepresents another person

4.3 Content Guidelines

When using our content creation tools, you agree not to:

  1. Input content that is illegal, harmful, or violates others' rights

  2. Attempt to generate content that promotes violence, hate speech, or discrimination

  3. Create misleading or false information intentionally

  4. Generate content that infringes on intellectual property rights

  5. Use the Services for spam or unsolicited commercial activities

  6. Input the personal information of other people without their consent or a lawful basis to do so

Where a feature asks you to provide certain personal details in order to generate the output you request, you provide those details voluntarily, and they are handled in accordance with our Privacy Policy.

5. User Content, Generated Content, and Intellectual Property

5.1 User Content (Your Inputs)

You retain ownership of all content, data, and information you provide to our Services, including text prompts, uploaded files, photos, and links ("User Content"). By using our Services, you grant us a limited, non-exclusive, royalty-free license to:

  1. Process and analyze your User Content to generate the output you request

  2. Use de-identified User Content to operate and improve our Services

  3. Store your User Content in your private Library

5.2 Generated Content (Output)

You own the content generated through our platform based on your inputs ("Generated Content"), subject to the following conditions:

  1. You may use Generated Content for personal, commercial, or other lawful purposes

  2. You acknowledge that Generated Content may not be unique, and similar content may be produced for other users providing similar inputs

  3. You are responsible for verifying the accuracy and appropriateness of Generated Content before use

  4. We retain all rights to our underlying technology, systems, and platform

5.3 Third-Party Content You Provide

When you provide links or other external content as input:

  1. We process that content to generate output on your behalf

  2. You must ensure you have the right to use that content

  3. You are responsible for compliance with the terms of service and copyright policies of those third-party sources

5.4 Content Responsibility

You are solely responsible for your User Content and represent that:

  1. You have the right to provide such content to Provue

  2. Your content does not violate these Terms or applicable laws

  3. Your content does not infringe on others' intellectual property rights

  4. You own or have authorization to use all content you provide

  5. You will not hold us liable for any consequences arising from your User Content

We reserve the right to remove User Content that violates these Terms or applicable laws.

5.5 Private Library

  1. All content generated and stored in your personal "Library" is private to your account by default

  2. Only you can access your Library

  3. Other users cannot see or access your private content

  4. You may delete content from your Library at any time

5.6 Featured Content

The discovery section displays content curated by Provue. This content is not user-submitted; it is created by Provue or authorized partners and showcases the capabilities of the Service.

5.7 Intellectual Property Rights

We respect your intellectual property rights and expect you to respect ours and others'.

Provue's Intellectual Property:

You may not:

  1. Copy, modify, or distribute our proprietary technology

  2. Remove or alter any proprietary notices or logos

  3. Use our trademarks without permission

  4. Create derivative works based on our platform or technology

Your Intellectual Property:

If you believe your intellectual property rights have been violated, please contact us at support@provue.ai with details of the alleged infringement.

Feedback:

If you provide feedback or suggestions about our Services, we may use such feedback without obligation or compensation to you.

6. Privacy and Data Protection

6.1 Privacy Policy

Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

6.2 Data Processing

By using our Services, you acknowledge that:

  1. We process your User Content to generate output and provide the Services

  2. We may use de-identified User Content to operate and improve our Services

  3. We implement appropriate security measures to protect your data

  4. You may opt out of the use of de-identified data for service improvement by contacting support@provue.ai

6.3 Third-Party Integrations

Our Services may integrate with third-party platforms. Your use of such integrations is subject to the respective third parties' terms and privacy policies.

7. Credits, Purchases, and Billing

7.1 Credit Wallet

Access to certain features requires credits. Credits are held in your account wallet and are consumed when you use paid features. The number of credits required for a given feature may vary and may change over time.

7.2 Purchasing Credits

  1. You may purchase credits in packs at the prices shown in the Service

  2. Prices are listed in Indian Rupees and may include applicable taxes

  3. Payment is processed through our third-party payment providers

  4. You authorize us and our payment providers to charge your selected payment method for purchases you make

  5. Purchased credits are added to your wallet once payment is confirmed

7.3 Expiry of Credits

  1. Credits you purchase do not expire for as long as your account remains active

  2. Credits granted to you at no charge, including promotional, bonus, and reward credits, may expire and may be subject to additional conditions communicated at the time they are granted

  3. All credits are forfeited if your account is closed or terminated

7.4 Auto Top-Up

  1. If you enable auto top-up, you authorize us to automatically purchase a credit pack using your selected payment method when your balance falls below the threshold you set

  2. Auto top-up continues until you disable it

  3. You may disable auto top-up at any time through your account settings

  4. Each auto top-up charge is subject to the same terms as a manual purchase

7.5 No Cash Value

  1. Credits are a limited license to access features and have no monetary or cash value

  2. Credits are not money, are not redeemable for cash, and are non-transferable

  3. Credits may not be sold, assigned, or transferred to any other person or account

7.6 Refunds

  1. All purchases of credits are final and non-refundable, except as required by applicable law

  2. Consumed credits are not refundable

  3. We do not provide refunds for unused credits

7.7 Pricing Changes

We may change credit prices, pack contents, and the credit cost of features at any time. Changes apply to purchases and usage made after the change takes effect.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services are provided "as is" and "as available" without warranties of any kind.

8.2 Content Limitations

You acknowledge that:

  1. Generated Content may contain inaccuracies, errors, or artifacts

  2. Output may vary and may not always meet your expectations

  3. You should review and validate Generated Content before using it for important purposes

  4. Output quality may vary based on input quality and content type

8.3 No Professional Advice

  1. Content and interactions on the Service are provided for general informational and entertainment purposes only

  2. You should not rely on the Service for professional, financial, legal, medical, or other important decisions

  3. We do not provide personalized professional advice of any kind

  4. Always consult qualified professionals before making important decisions

9. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We disclaim all warranties, including but not limited to:

  1. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE

  2. NON-INFRINGEMENT AND QUIET ENJOYMENT

  3. ACCURACY, COMPLETENESS, OR RELIABILITY OF GENERATED CONTENT

  4. UNINTERRUPTED OR ERROR-FREE SERVICE

  5. SECURITY OF DATA TRANSMISSION

  6. THAT THE SERVICES WILL MEET YOUR REQUIREMENTS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages

  2. We shall not be liable for any loss of profits, data, use, business, or goodwill

  3. We shall not be liable for any damages resulting from your use or inability to use the Services

  4. We shall not be liable for any damages resulting from Generated Content or decisions based on it

  5. We shall not be liable for any delays or failures in performance caused by circumstances beyond our reasonable control

OUR TOTAL LIABILITY for all claims related to the Services shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not permit limitations of liability, so the above limitation may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Provue and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the Services

  2. Your violation of these Terms

  3. Your User Content

  4. Your violation of any rights of another party, including third-party intellectual property rights

  5. Your generation or use of content that violates applicable laws

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the account deletion process in your settings or by contacting us at support@provue.ai.

12.2 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice, if:

  1. You breach these Terms

  2. You engage in prohibited activities

  3. You violate applicable laws

  4. We are required to do so by law or legal process

12.3 Effect of Termination

Upon termination:

  1. Your access to the Services will cease immediately

  2. You remain liable for any outstanding fees or charges

  3. Any remaining credits in your account are forfeited

  4. We may delete your account and all associated data after a reasonable retention period

  5. Sections of these Terms that should survive termination remain in effect, including: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at support@provue.ai to seek an amicable resolution of any dispute. We will make reasonable efforts to resolve disputes within 30 days of notice.

13.2 Governing Law

These Terms are governed by the laws of the State of Delaware and the laws of the United States, without regard to conflict of law principles.

13.3 Jurisdiction and Venue

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. You consent to the personal jurisdiction and venue of these courts and waive any objections to venue or inconvenient forum.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and Provue regarding the Services and supersede all prior negotiations, representations, and agreements.

14.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. For material changes, we will provide you with email notification and a reasonable opportunity to review the changes. Your continued use of the Services after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Services.

14.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. We will replace the invalid provision with one that achieves the original economic intent.

14.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver is effective unless in writing and signed by our authorized representative.

14.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity without restriction or notice to you.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance of our obligations due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, government actions, wars, terrorism, pandemics, network outages, or internet disruptions. Our obligations shall be suspended during any such force majeure event.

15. Compliance with Laws

15.1 Legal Compliance

You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in your use of the Services, including but not limited to:

  1. Data protection and privacy laws

  2. Intellectual property laws (copyright, trademark, patent)

  3. Export control regulations

  4. Anti-money laundering regulations

  5. Anti-spam and anti-harassment laws

15.2 US State Privacy Laws

Provue complies with applicable US state privacy laws where they apply to our Services, including:

  1. California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA)

  2. Virginia Consumer Data Protection Act (CDPA)

  3. Colorado Privacy Act (CPA)

  4. Connecticut Data Privacy Act (CTDPA)

  6. Other applicable state privacy regulations
