1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Provue ("Company," "we," "us," or "our") regarding your use of the Provue conversational and audio-creation platform and related services, including our website at https://www.provue.ai and our mobile applications (collectively, the "Services").

Provue is operated by Pazago Technologies Private Limited, a Private Company registered in Mumbai, Maharashtra. (CIN: U72900KA2021PTC150187)

By accessing, using, or registering for our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Description of Services

2.1 Platform Overview

Provue is a conversational and audio-creation platform that allows users to:

  1. Chat with agents through text-based messaging, with memory and context that persists across sessions.

  2. Call agents through real-time voice conversations.

  3. Create studio-quality audio content using text prompts, uploaded files, external links, and customizable parameters such as voice, language, and duration.

  4. Discover agents and featured audio content through a browsable feed.

2.2 Service Features

Our Services include:

  1. Text-based chat messaging with agents

  2. Real-time voice calls with agents

  3. Audio generation from text, files, and URLs

  4. Memory and personalization across sessions

  5. Private "Library" for storing generated audios

  6. "Featured" section displaying curated example audios

  7. "Use Prompt" feature allowing users to remix featured audios with modified parameters

  8. Discovery feed for browsing agents and content

  9. Multi-language support (Hindi, Hinglish, English, Tamil, Bengali, and more)

  10. Account management and settings

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Services.

3. Agents

3.1 Nature of Agents

Provue features a range of agents that users can interact with through chat, voice calls, and audio creation. Interactions with agents are generated by the platform and should not be treated as professional advice of any kind.

3.2 Limitations of Agent Interactions

You acknowledge and agree that:

  1. Conversations and calls with agents are generated by the platform and do not constitute advice of any kind, including financial, medical, legal, astrological, or psychological guidance.

  2. Agents may provide information that is inaccurate, incomplete, or unsuitable for your specific circumstances.

  3. You should not rely on agent interactions for professional or personal decisions.

  4. Agents are for entertainment, companionship, and content-creation purposes.

4. User Accounts and Registration

4.1 Account Creation

To access our Services, you must create an account by providing a valid email address or phone number. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

4.2 Account Requirements

  1. You must provide accurate and complete information

  2. You must maintain and promptly update your account information

  3. You are responsible for all activities conducted through your account

  4. You agree to use a valid email address or phone number and respond to One-Time Passwords (OTPs) sent for authentication

4.3 Account Security

You agree to:

  1. Keep your email, phone number, and OTP authentication secure

  2. Notify us immediately of any unauthorized access to your account

  3. Not share your account access credentials with others

  4. Log out of your account when using a shared device

5. Acceptable Use Policy

5.1 Permitted Uses

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to:

  1. Use the Services in compliance with all applicable laws and regulations

  2. Respect the intellectual property rights of others

  3. Use the Services in a manner that does not harm or interfere with others' use

  4. Provide accurate information when using our tools

  5. Only input content you have the right to use

5.2 Prohibited Activities

You agree not to:

  1. Use the Services for any illegal, harmful, or abusive purposes

  2. Attempt to reverse engineer, decompile, or extract the source code of our Services

  3. Use automated tools or bots to access the Services without authorization

  4. Interfere with or disrupt the integrity or performance of the Services

  5. Attempt to gain unauthorized access to our systems or other users' accounts

  6. Upload or input content that is offensive, defamatory, or violates others' rights

  7. Use the Services to generate content that could be harmful, misleading, or inappropriate

  8. Violate any applicable laws, regulations, or third-party rights

  9. Create multiple accounts to circumvent restrictions or limitations

  10. Use the Services to generate hateful, discriminatory, or violent content

  11. Upload copyrighted material without authorization

  12. Use chat or call features to harass, abuse, or threaten others, including agents on the platform

  13. Attempt to manipulate or exploit agent interactions for harmful purposes

5.3 Content Guidelines

When using our chat, call, and audio-generation tools, you agree not to:

  1. Input content that is illegal, harmful, or violates others' rights

  2. Attempt to generate content that promotes violence, hate speech, or discrimination

  3. Create misleading or false information intentionally

  4. Generate content that infringes on intellectual property rights

  5. Use the Services for spam or unsolicited commercial activities

  6. Input personally identifiable information (names, addresses, phone numbers, financial details) of yourself or others

  7. Provide confidential business, medical, financial, or legal information

6. User Content, Generated Content, and Intellectual Property

6.1 User Content (Your Inputs)

You retain ownership of all content, data, and information you provide to our Services, including text prompts, chat messages, uploaded files, and URLs ("User Content"). By using our Services, you grant us a limited, non-exclusive, royalty-free license to:

  1. Process and analyze your User Content to power chat conversations, voice calls, and audio generation

  2. Use de-identified User Content to improve our Services

  3. Store your User Content in your private account

6.2 Generated Audio (Our Output)

You own the specific audio files generated by our platform based on your inputs ("Generated Audio"), subject to the following conditions:

  1. You own the audio file itself and may use it for personal, commercial, or other lawful purposes

  2. You acknowledge that Generated Audio may not be unique and similar audio may be generated for other users providing similar prompts

  3. You are responsible for verifying the accuracy and appropriateness of Generated Audio before use

  4. We retain all rights to our underlying technology, models, and algorithms

6.3 Chat and Call Content

  1. Chat messages you send are stored on our servers to maintain conversation continuity and power the memory feature.

  2. Voice calls are recorded and stored on our servers to ensure user safety, maintain service quality, and resolve disputes.

  3. You retain ownership of the content of your messages and calls.

6.4 Generated Audio vs. Third-Party Content

When you provide URLs (e.g., YouTube, articles) as input:

  1. We process the content from those URLs to generate audio on your behalf

  2. You must ensure you have the right to use the content from those URLs

  3. You are responsible for compliance with the terms of service and copyright policies of those third-party sources

  4. Your use of content derived from YouTube is subject to YouTube Terms of Service

6.5 Content Responsibility

You are solely responsible for your User Content and represent that:

  1. You have the right to provide such content to Provue

  2. Your content does not violate these Terms or applicable laws

  3. Your content does not infringe on others' intellectual property rights

  4. You own or have authorization to use all content you upload

  5. You will not hold us liable for any consequences arising from your User Content

We reserve the right to remove User Content that violates these Terms or applicable laws.

6.6 Private Library (Your Generated Audios)

  1. All audios generated and stored in your personal "Library" are private to your account by default

  2. Only you can access your Library

  3. Other users cannot see, remix, or access your private audios

  4. You may delete audios from your Library at any time

6.7 Featured Section

The "Featured" section displays example audios curated by Provue. Featured audios are not user-submitted and are created by Provue or authorized partners. Featured audios showcase the capabilities of our platform and include visible generation parameters (prompts, voice, language, duration, and source materials).

6.8 Use Prompt Feature (Remixing)

  1. Users may click "Use Prompt" on featured audios to load the original generation parameters into the creation flow

  2. The "Use Prompt" feature displays: the original prompt text, voice, language, and duration selections, and any source material (uploaded files, URLs)

  3. When you use a prompt from a featured audio, you are creating a derivative work based on the original parameters

  4. Your new audio is stored in your private Library

  5. You cannot publish remixed audios to the Featured section. Remixed versions remain private unless we explicitly enable publishing in the future

  6. You own your remixed audio, subject to your compliance with these Terms

  7. You agree not to use prompts from featured audios containing copyrighted material or confidential information for any unlawful purpose

6.9 Intellectual Property Rights

We respect your intellectual property rights and expect you to respect ours and others'.

Provue's Intellectual Property:

You may not:

  1. Copy, modify, or distribute our proprietary technology

  2. Remove or alter any proprietary notices or logos

  3. Use our trademarks without permission

  4. Create derivative works based on our platform or technology

Your Intellectual Property:

If you believe your intellectual property rights have been violated, please contact us at support@provue.ai with details of the alleged infringement.

Feedback:

If you provide feedback or suggestions about our Services, we may use such feedback without obligation or compensation to you.

7. Privacy and Data Protection

7.1 Privacy Policy

Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

7.2 Data Processing

By using our Services, you acknowledge that:

  1. We process your User Content to power chat conversations, voice calls, audio generation, and the memory feature

  2. We record and store voice calls to ensure user safety, maintain service quality, and resolve disputes

  3. We may use de-identified User Content to improve our Services

  4. We implement appropriate security measures to protect your data

  5. You may opt out of data processing for service improvement by contacting support@provue.ai

7.3 Memory and Personalization

By using our Services, you consent to the collection and use of chat history, stated preferences, and behavioral signals to personalize your experience across sessions. You may request deletion of your memory and personalization data at any time by contacting support@provue.ai.

7.4 Third-Party Integrations

Our Services may integrate with third-party platforms (e.g., YouTube). Your use of such integrations is subject to the respective third parties' terms and privacy policies.

8. Credit Plans and Billing

8.1 Free and Paid Access

Provue offers limited free access and paid credit plans with varying usage allowances. Details of available plans, pricing, and included credits are available on our website and within the app, and may be updated from time to time.

8.2 Credit Plans

  1. Credit plans are one-time purchases, not recurring subscriptions. Each plan provides a fixed number of credits or minutes for chat, audio creation, voice calls, or a combination of all three.

  2. All purchases are final and non-refundable except as required by law.

  3. You authorize us to charge your designated payment method at the time of purchase.

  4. You are responsible for paying all applicable taxes and fees.

  5. We may change our pricing at any time. Price changes do not affect credits you have already purchased.

8.3 Credit Usage and Expiration

  1. Credits are consumed as you use chat, call, and audio-creation features, according to the rates specified in your plan.

  2. We reserve the right to set expiration periods for purchased credits. Any applicable expiration terms will be clearly communicated at the time of purchase.

  3. Unused credits are not transferable to other accounts.

  4. Credits have no cash value and cannot be exchanged for money.

8.4 Free Access

  1. Free access may be subject to restrictions, rate limits, and feature limitations.

  2. We may modify or discontinue free access at any time.

  3. Free-tier accounts may be suspended if inactive for an extended period (180+ days).

8.5 Refunds

  1. Purchases are non-refundable.

  2. Except as required by applicable law, we do not issue refunds for unused credits or partially consumed credit plans.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services are provided "as is" and "as available" without warranties of any kind.

9.2 Platform Limitations

You acknowledge that:

  1. Generated audio, chat responses, and call interactions may contain inaccuracies, errors, or unexpected outputs

  2. The platform has inherent limitations and may produce results that do not meet your expectations

  3. You should review and validate Generated Audio before using it for important purposes

  4. Performance may vary based on input quality, content type, and network conditions

9.3 No Professional Advice

  1. Interactions with agents on Provue, whether through chat, calls, or audio, do not constitute professional advice of any kind

  2. Agents covering topics such as finance, astrology, fitness, health, legal matters, or relationships are for entertainment and general informational purposes only

  3. You should not rely on agent interactions for professional, financial, legal, medical, or investment decisions

  4. Always consult qualified professionals before making important decisions

10. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We disclaim all warranties, including but not limited to:

  1. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE

  2. NON-INFRINGEMENT AND QUIET ENJOYMENT

  3. ACCURACY, COMPLETENESS, OR RELIABILITY OF GENERATED AUDIO, CHAT RESPONSES, OR CALL INTERACTIONS

  4. UNINTERRUPTED OR ERROR-FREE SERVICE

  5. SECURITY OF DATA TRANSMISSION

  6. THAT THE SERVICES WILL MEET YOUR REQUIREMENTS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages

  2. We shall not be liable for any loss of profits, data, use, business, or goodwill

  3. We shall not be liable for any damages resulting from your use or inability to use the Services

  4. We shall not be liable for any damages resulting from Generated Audio, chat responses, call interactions, or decisions based thereon

  5. We shall not be liable for any delays or failures in performance caused by circumstances beyond our reasonable control

OUR TOTAL LIABILITY for all claims related to the Services shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not permit limitations of liability, so the above limitation may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Provue and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the Services

  2. Your violation of these Terms

  3. Your User Content

  4. Your violation of any rights of another party, including third-party intellectual property rights

  5. Your generation or use of audio, chat content, or call interactions that violate applicable laws

13. Termination

13.1 Termination by You

You may terminate your account at any time by following the account deletion process in your settings or by contacting us at support@provue.ai.

13.2 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice, if:

  1. You breach these Terms

  2. You engage in prohibited activities

  3. You violate applicable laws

  4. We are required to do so by law or legal process

  5. Your account remains inactive for an extended period (180+ days)

13.3 Effect of Termination

Upon termination:

  1. Your access to the Services will cease immediately

  2. Any unused credits in your account will be forfeited and are not refundable

  3. We may delete your account and all associated data after a reasonable retention period

  4. Sections of these Terms that should survive termination remain in effect, including: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at support@provue.ai to seek an amicable resolution of any dispute. We will make reasonable efforts to resolve disputes within 30 days of notice.

14.2 Governing Law

These Terms are governed by the laws of the State of Delaware and the laws of the United States, without regard to conflict of law principles.

14.3 Jurisdiction and Venue

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. You consent to the personal jurisdiction and venue of these courts and waive any objections to venue or inconvenient forum.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and Provue regarding the Services and supersede all prior negotiations, representations, and agreements.

15.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. For material changes, we will provide you with email notification and a reasonable opportunity to review the changes. Your continued use of the Services after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Services.

15.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. We will replace the invalid provision with one that achieves the original economic intent.

15.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver is effective unless in writing and signed by our authorized representative.

15.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity without restriction or notice to you.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance of our obligations due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, government actions, wars, terrorism, pandemics, network outages, or internet disruptions. Our obligations shall be suspended during any such force majeure event.

You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in your use of the Services, including but not limited to:

  1. Data protection and privacy laws (GDPR, CCPA, etc.)

  2. Intellectual property laws (copyright, trademark, patent)

  3. Export control regulations

  4. Anti-money laundering regulations

  5. Securities laws (if applicable)

  6. Anti-spam and anti-harassment laws
